Trends On Influence fully accepts the contractual conditions set forth by LATAM Airlines Group. Our sole exception pertains to intellectual property over proprietary tools and methodologies previously developed by the agency, which are licensed to LATAM for the duration of the contract with no restrictions on operations.

## 2. BILLING MODEL

- Invoicing in the local currency of the country where each service is rendered.
- Purchase Order (PO) issuance is mandatory prior to any invoice submission.
- Applicable exchange rate: the rate in effect on the date the Purchase Order is issued.
- Payment terms: 90 days from invoice receipt.
- Contracting structure adaptable per market, defined on a case-by-case basis with LATAM Procurement.

## 3. COMMISSION STRUCTURE

### 3.1 Full Transparency Principle

Trends On Influence operates under a fully transparent commission model in which LATAM has complete visibility into the influencer's value and the agency commission on every quote and invoice.

### 3.2 Commission Detail

- **Commission rate:** 15%, applied exclusively to the influencer contracting value.
- **Calculation:** Net influencer value x 1.15 = Total invoiced.
- **Commission base:** Solely the content creator's contracting fee.

### 3.3 Items Excluded from Commission

The following items **do not carry any agency commission** and are invoiced at cost:

- Airline tickets and ground transportation.
- Production logistics and venue costs.
- Additional production (photography, video, external editing).
- Reimbursable expenses (accommodation, per diem, transfers).
- Third-party tools and licenses.

## 4. TRAVEL & LOGISTICS COSTS

Trends On Influence adheres to the maximum rates established by LATAM Airlines Group:

- **Agency team travel:** When Trends On Influence team members accompany influencers on campaigns, travel costs are reimbursable under the same maximum rate caps.

1. Submission of a detailed travel and logistics budget.
2. Written approval from LATAM Marketing.
3. Validation by LATAM Procurement.
4. Expense execution.
5. Submission of receipts and reimbursement request.

## 5. INSURANCE & LIABILITY

### 5.1 Coverage Maintained by Trends On Influence

- **Professional liability insurance:** Active policy covering errors and omissions in service delivery.
- **General liability insurance:** Coverage in accordance with requirements set by LATAM Airlines Group.
- **Workers' compensation:** Coverage for all agency team members in compliance with applicable local legislation.

### 5.2 Per-Campaign Coverage

- **Travel and accident insurance for content creators:** Arranged and contracted on an individual basis for each campaign requiring influencer travel.
- **Additional coverage:** Any campaign-specific insurance requirements will be assessed and contracted as needed.

### 5.3 Liability

Trends On Influence assumes full responsibility for the management of contracted content creators, including compliance with contractual obligations, on-time deliverables, and adherence to LATAM brand guidelines.

## 6. INTELLECTUAL PROPERTY

### 6.1 Campaign Deliverables

All campaign deliverables are the property of LATAM Airlines Group, including:

- Content created by influencers within the scope of campaigns.
- Creative assets developed for campaigns (creative briefs, moodboards, scripts).
- Performance reports, analyses, and strategic documents.

### 6.2 Proprietary Technology and Methodologies

Trends On Influence retains ownership of:

- Proprietary technology tools (analytics platforms, dashboards, management systems).
- Internally developed methodologies and frameworks.
- Proprietary content creator databases and industry benchmarks.

These tools and methodologies are licensed to LATAM for the duration of the contract at no additional cost and with no restrictions on operations.

### 6.3 Creator Image Rights

- Image rights negotiated individually for each campaign, with clearly defined scope (channels, duration, type of use).
- **Standard period:** 3 months of use across LATAM's owned digital channels.
- **Extension:** Up to 12 months for key YouTube content and high-impact assets.
- **Whitelisting and creator licensing:** Facilitated by the agency for LATAM's paid content amplification.

## 7. CONFIDENTIALITY & DATA PROTECTION

### 7.1 Confidentiality

- Full compliance with the LATAM Airlines Group Non-Disclosure Agreement (NDA).
- All LATAM information is treated as strictly confidential.
- Internal information security protocols applied to all assigned personnel.
- Campaign information access restricted exclusively to authorized personnel.

### 7.2 Data Protection

- **Brazil:** Compliance with the Lei Geral de Protecao de Dados (LGPD).
- **European Union:** Compliance with the General Data Protection Regulation (GDPR).
- **Other markets:** Compliance with applicable local data protection regulations in each jurisdiction.

### 7.3 Creator Data Management

- Content creator personal data managed with explicit consent and appropriate security measures.
- Campaign information accessible only to personnel authorized by LATAM and by the agency.
- Data deletion upon termination of the contractual relationship, subject to applicable legal retention periods.

## 8. DECLARATIONS

Trends On Influence formally declares the following:

1. **Offer validity:** This proposal is valid for 90 calendar days from the date of submission.

2. **Code of Conduct:** We accept and commit to full compliance with the LATAM Airlines Group Code of Conduct.

3. **Anticorruption:** We comply with all applicable anticorruption laws, including:
   - The United States Foreign Corrupt Practices Act (FCPA).
   - The United Kingdom Bribery Act.
   - Chile's Law 20,393 on Criminal Liability of Legal Entities.
   - Brazil's Law 12,846 (Anticorruption Act).
   - Local anticorruption legislation in each market where we operate.

4. **Conflict of interest:** We declare no conflicts of interest with direct competitors of LATAM Airlines Group in the influencer marketing domain.

5. **Company age:** Trends On Influence has been in continuous operation for more than 4 years, exceeding the minimum requirement of 2 years.

6. **Accuracy of information:** All information contained in this proposal is truthful, accurate, and verifiable. Any identified inaccuracy will be corrected immediately and transparently.
